1. Scope of Services

2. Website Services
- Website hosted and managed by aiagentcorner.
- Hosting charges are borne by the Client.
- Website includes clinic profile, testimonials, infrastructure, treatment details, and appointment booking.
- Only approved content shall be published.
3. WhatsApp Automation
- WhatsApp Business API setup and configuration.
- Meta Business onboarding assistance.
- Meta conversation charges are payable directly by the Client.
- Leads stored securely in Google Sheets.
4. Intellectual Property (IP)
- Source code, workflows, automation logic, prompts, integrations, templates, and deployment configurations remain the intellectual property of aiagentcorner unless otherwise agreed in writing.
- Client owns all business data, logos, branding assets, images, and content supplied by the Client.
- Upon payment of mutually agreed transfer and development charges, ownership or licensed access to agreed deliverables may be transferred.
5. Client Responsibilities
- Provide accurate and up-to-date information.
- Approve website content before publishing.
- Maintain hosting and Meta payments independently.
- Ensure lawful use of all services.
6. Data Privacy & Security
- Client retains ownership of all customer and lead data.
- aiagentcorner will use commercially reasonable measures to safeguard Client data.
- Data will not be sold or shared except as necessary to provide the agreed services or as required by law.
7. Third-Party Services & AI Dependencies
- Services may rely on platforms such as GoDaddy, Hostinger, Google, Meta, OpenAI, or other AI and cloud providers.
- aiagentcorner is not responsible for outages, pricing changes, policy changes, API limitations, or service discontinuation by third-party providers.
8. Reviews & Online Reputation
- aiagentcorner does not guarantee ratings, reviews, patient acquisition, search rankings, or business growth.
- The Client remains solely responsible for services provided to patients and any resulting reviews or feedback.
9. Payment Terms

10. Term & Termination
Agreement Duration:
Either party may terminate with a minimum of seven (7) days prior written notice, preferably during the final week of the current billing cycle. Outstanding dues remain payable upon termination.

11. Limitation of Liability
aiagentcorner shall not be liable for:
- Revenue loss or loss of patients
- SEO ranking changes
- Third-party outages or Meta bans
- Google indexing delays
- Cyber attacks on third-party services
- Indirect or consequential damages
Liability shall not exceed the fees paid by the Client during the preceding three (3) months of service, except where prohibited by applicable law.
12. Acceptance
The Client confirms that they have read this Agreement, understand the services, and agree to all Terms & Conditions. This electronic acceptance shall have the same legal effect as a handwritten signature.
